What Is a Delaware Revival?
When a Delaware company misses its franchise tax payments or annual report filings, the State eventually voids it — an LLC is cancelled and a corporation’s charter becomes void or forfeited. A revival (sometimes called reinstatement) is the official filing that brings the company back: the State restores it to active status once the revival certificate is filed and the outstanding taxes and penalties are paid.
The important part: revival restores your existing company — you keep the same legal entity, formation date, and EIN, and under Delaware law the company generally continues as if the void period never interrupted its rights.
