07What is a Certified Copy, and when do I need one?

A certified copy is an official copy of your filed formation document — your Certificate of Formation (LLC) or Certificate of Incorporation (Corporation) — stamped with the Delaware Secretary of State’s seal certifying it as a true copy of the state record. Banks, payment processors, and authorities abroad often ask for a certified copy rather than a plain printout when you open an account or register your company in another country.

08What is an Apostille, and why would I need one?

An apostille is an international certification attached by the Delaware Secretary of State that authenticates your document for use abroad. Countries in the Hague Apostille Convention accept an apostilled document without any further embassy or consular legalization. If you’re opening a bank account, registering a branch, or signing contracts outside the U.S., the foreign authority will usually require your company document to be apostilled first — and an apostille can only be placed on a certified copy, not a plain one.

09What is a Certificate of Good Standing, and why does it matter?

A Certificate of Good Standing is an official document from the State of Delaware confirming that your company legally exists, is active, and is current on its franchise tax and annual filings. Banks, investors, and partners frequently request it as proof that your company is compliant — especially when opening accounts, raising funding, or expanding into another state or country. It’s usually considered current for 30–90 days from its issue date, so it’s best requested when you actually need it.

10Which documents are physical, and which are digital?

Your Certificate of Formation (or Incorporation) is digital — delivered as a file you can download and use right away, as is your EIN letter on the plans that include it. The documents that only carry full legal weight as sealed originals — the certified copy and the apostille — are not part of any plan; you order them as separate services when a bank or authority abroad asks for one.
