If you do not agree with this Legal Disclaimer and the Policies, you must not use our website or services.
Nothing on our website, in our materials, or in our communications is intended to create any kind of attorney–client, tax advisor–client, accountant–client, or other professional relationship, or to provide legal, tax, financial, accounting, or immigration advice.
Capitalized terms not defined in this Legal Disclaimer have the meanings given to them in the Terms of Service. If any marketing material, landing page, blog post, or other website content appears to conflict with this Legal Disclaimer or the Policies, this Legal Disclaimer and the Policies control.
2. No Legal, Tax, Financial, Accounting, or Immigration Advice
IncReg is not a law firm, does not practice law, and does not provide legal advice in any jurisdiction. IncReg is also not a tax advisor, financial advisor, accounting firm, or immigration advisor.
Nothing on our website, in our emails, in our chat responses, in our guides or checklists, in our templates, or in any other communication from us is intended to be, or should be taken as, legal, tax, financial, accounting, or immigration advice.
Any explanations, examples, comparisons (including LLC versus corporation, or Delaware versus other states), or general information we provide are for informational and educational purposes only. They are not a substitute for advice from a licensed professional who can review your specific situation and apply the law to your specific facts.
3. No Attorney–Client or Other Professional Relationship
Your use of the IncReg website, your viewing of our content, and your communications with IncReg (including via email, live chat, phone, or contact forms) do not create:

a fiduciary relationship

4. Nature of IncReg’s Services; Templates and Electronic Delivery
IncReg provides administrative, document-preparation, and filing assistance services. We prepare and submit documents based on the information and instructions you provide.
We may, at our discretion, review your information or documents for completeness, basic formatting, obvious inconsistencies, or apparent spelling or typographical errors. However, at no time does IncReg:
review your information or documents for legal sufficiency
determine whether a particular entity type, structure, or filing is appropriate for your situation
apply the law to the facts of your specific situation
provide any opinion about legal rights, remedies, defenses, or strategies
Certain documents we provide as part of formation packages, including but not limited to:
operating agreements (for LLCs)
bylaws (for corporations)
statements of authorized person
banking resolutions
digital corporate kits
are standard form templates or examples (“Template Documents”). Template Documents are general in nature and are not customized to your specific situation unless we expressly state otherwise in a separate written agreement.
Template Documents do not constitute personalized legal, tax, accounting, or other professional advice. You are solely responsible for reviewing any Template Documents, modifying them as needed for your specific circumstances, and consulting your own professional advisers before signing, using, or relying on them.
All documents and records we provide — including government filings and certificates, as well as Template Documents and other corporate records — are delivered electronically (for example, by email or secure download). IncReg does not ship physical binders, corporate seals, or other physical corporate kit items by default. If any physical items are offered, they will be clearly described in the relevant product or service description and order confirmation.
5. Pricing, Renewals, and Government Fees
Any pricing, billing, auto-renewal terms, included periods (such as a first-year registered agent term included with certain formation packages), cancellation requirements, and refund rules are governed by the Terms of Service and the Refund Policy. Government filing fees and other government charges may vary based on the entity type and the specific details of your filing. In some cases, additional or variable government fees may be required (including for certain corporation share structures, par value, elections, or special requests). If additional government fees are required, we may request payment before submitting or completing the filing.
6. Registered Agent Records and Billing
If registered agent service is purchased or renews, canceling renewal billing does not automatically update state records. If you want to remove IncReg as your registered agent and/or address in public records, you must file the required change with the relevant authority. Additional terms related to registered agent services are set out in the Terms of Service.
7. Business Address and Mail Handling Services
If you purchase IncReg’s Business Address service, you may instruct IncReg to forward, scan, or shred mail received at the address on your behalf. IncReg uses commercially reasonable efforts to handle mail according to your selected option, but:
we do not guarantee any specific processing time for forwarding, scanning, or shredding;
we are not responsible for delays, misdelivery, damage, or loss caused by postal services, courier companies, customs authorities, or other third parties outside our control;
once mail has been shredded or otherwise destroyed in accordance with your instructions or default handling rules, it cannot be recovered;
we may, at our discretion, treat unmarked or unidentifiable mail in accordance with our standard handling procedures; and
the Business Address service is provided as a convenience and does not grant you any lease, tenancy, or other real property interest in any IncReg location.
You are responsible for keeping your contact information, mail handling preferences, and any required forms (such as USPS Form 1583) accurate and current. Additional terms relating to mail forwarding and business address services are set out in the Terms of Service.
8. EIN Applications and Information-Based Filings
For services that involve EIN applications (whether bundled within a formation package or purchased as a standalone service), amendments, foreign qualifications, dissolutions, or other information-based filings, IncReg acts as a document-preparation and submission service only. We do not provide legal or tax advice about eligibility, classification, or strategy.
Any such filings we help prepare or submit are based solely on the information you provide. You are solely responsible for:
ensuring that all information you provide is accurate, complete, and timely
notifying government agencies and making any required updates if your information changes
determining the appropriate responsible party, entity classification, and other details required by the applicable agency
IncReg does not monitor changes in your ownership, control, or circumstances, and we do not undertake any ongoing obligation to update or amend filings unless we explicitly agree to do so in a separate written agreement.
Any penalties, fines, or consequences for inaccurate, incomplete, or late filings are your responsibility.
9. Courtesy Reminders and Compliance Notifications
From time to time, we may send you reminder emails or notifications about potential deadlines or obligations (for example, Delaware annual franchise tax, annual reports, or registered agent renewals). These reminders are provided solely as a courtesy and do not create any legal duty or guarantee.
We do not guarantee that any particular reminder will be sent, received, read, or acted on, or that it will identify every deadline that applies to you. You remain solely responsible for tracking and meeting all filing, tax, and compliance deadlines that apply to you or your entity.
Our courtesy reminders do not transfer any legal or regulatory obligations from you to IncReg. You may opt out of these courtesy reminders at any time by contacting us, but doing so does not relieve you of any underlying compliance obligations.
10. General Information Only; No Personalized Guidance
All information on the IncReg website, including explanatory pages, FAQs, blogs, guides, tooltips, emails, downloadable resources, and help texts, is general in nature. Even if it addresses topics such as Delaware law, U.S. Employer Identification Numbers (EIN), bank account practices, or compliance obligations, it:
is not tailored to your individual situation, jurisdiction, or industry
may not reflect all relevant laws, regulations, exemptions, or nuances

13. Third-Party Content, Tools, and Links
Our website and services may reference, integrate, or link to third-party services, tools, or content, including but not limited to analytics tools, payment processors, live chat providers, e-signature services, fax or document transmission services, identity verification tools, and external websites.
IncReg does not control and is not responsible for:
the content, accuracy, security, or policies of any third-party website or service
any errors, delays, interruptions, or failures of third-party tools or platforms
any information, advice, or materials provided by third parties
Inclusion of any third-party link, reference, or tool does not constitute an endorsement or recommendation by IncReg. Your use of third-party services or websites is at your own risk and is subject to their own terms, conditions, and privacy policies.
14. No Engagement Created by Using the Website
Viewing the IncReg website, reading our materials, signing up for guides or emails, or contacting us for general information does not by itself create a client relationship or any obligation for IncReg to perform services.
A formal client relationship with IncReg for specific services is created only when:

payment is successfully processed

16. International and Non-U.S. Users
IncReg’s explanations, examples, and references are generally framed in a U.S. and, where specified, Delaware context. If you are located outside the United States or are subject to non-U.S. legal or tax regimes:

17. Limitation of Liability and Relationship to Terms of Service
This Legal Disclaimer is intended to be interpreted consistently with the IncReg Terms of Service. To the extent permitted by law:
IncReg’s liability for any claims arising out of or relating to the website, the content, or the services is limited as described in the IncReg Terms of Service; and
disclaimers, exclusions, and limitations of liability in the Terms of Service apply to the fullest extent permitted by law and are incorporated by reference into this Legal Disclaimer.
If there is any inconsistency between this Legal Disclaimer and the Terms of Service regarding liability, the limitation-of-liability provisions in the Terms of Service will control.
IncReg’s performance is also subject to the Force Majeure provisions of the Terms of Service.
Nothing in this Legal Disclaimer is intended to exclude or limit any liability that cannot be excluded or limited under applicable law.
18. Changes to This Legal Disclaimer
IncReg may update or modify this Legal Disclaimer from time to time. The “Last Updated” date at the top of this Legal Disclaimer indicates when it was most recently revised.
Any changes will become effective when posted on the website, unless a later effective date is stated. Your continued use of the website or services after changes take effect constitutes your acceptance of the revised Legal Disclaimer.
